LogiSync End-User License Agreement
This End-User License Agreement (“Agreement”) is between Everyman Consulting (“Company,” “we,” “us,” or “our”) and the user (“you” or “Customer”) of the LogiSync application (“App”).

License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your internal business operations, subject to this Agreement.

Ownership
The App, including all software, workflows, branding, content, and documentation, is owned by Everyman Consulting and protected by applicable intellectual property laws. No ownership rights are transferred to you.

Permitted Use
You may use the App only for lawful business purposes and in compliance with applicable laws and third-party platform terms (including QuickBooks Online terms, where applicable).

Restrictions
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code from the App.
- Copy, resell, sublicense, rent, or distribute the App without written permission.
- Use the App in a way that disrupts service, security, or other users.
- Use the App for unlawful, fraudulent, or abusive purposes.

Third-Party Services
The App may integrate with third-party services (including QuickBooks Online). Your use of those services is governed by their own terms and policies. We are not responsible for third-party platform availability or policy changes.

Data and Access
You authorize the App to access and process data required to provide requested functionality (such as customer, item, invoice, payment, and related operational data). We process data according to our Privacy Policy.

Service Availability
We aim to provide reliable service but do not guarantee uninterrupted or error-free availability. We may modify, suspend, or discontinue features at any time.

Disclaimer of Warranties
The App is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

Limitation of Liability
To the maximum extent permitted by law, Everyman Consulting is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunities arising from use of the App.

Indemnification
You agree to indemnify and hold harmless Everyman Consulting from claims, damages, liabilities, and expenses arising from your misuse of the App or violation of this Agreement.

Termination
We may suspend or terminate access if you violate this Agreement or if required for security, legal, or operational reasons. Upon termination, your license ends immediately.

Governing Law
This Agreement is governed by the laws of [State/Country], without regard to conflict of law principles.

Changes to This Agreement
We may update this Agreement from time to time. Continued use of the App after updates constitutes acceptance of the revised terms.
